Membership Terms & Conditions

Purpose and Acceptance. These Membership Terms & Conditions (“Terms”) govern the purchase and use of memberships and session-based packages offered by Sadhya Studios (“Sadhya”, “Studio”, “we”, “us” or “our”). By purchasing, activating, booking or using any Sadhya membership or package, the customer/member (“Member”, “you” or “your”) confirms that they have read, understood and agreed to these Terms. These Terms shall be read together with the applicable package details, booking rules, Studio policies and service-specific policies communicated by Sadhya.

Membership & Package Terms

1. Nature of Membership. Sadhya memberships are session-based packages and entitle the Member to attend the number and type of sessions specified in the package purchased. Packages may be offered for monthly, quarterly, annual or other periods as determined by Sadhya from time to time. The number of sessions, service type, validity period and applicable price shall be as specified at the time of purchase. Membership is subject to Studio capacity, availability, operating hours, class schedules and applicable booking rules. A membership does not guarantee a particular class, instructor, time slot or equipment.

2. Package Activation. A package becomes active on the activation date communicated or recorded by Sadhya. The Member is responsible for checking the activation date and package validity. Unless otherwise confirmed in writing, the validity period runs continuously from the activation date and is not automatically extended because the Member does not attend sessions.

3. Package Information. The package purchased by the Member shall be the package confirmed at the time of purchase. Sadhya may introduce, discontinue, modify or replace packages, pricing or package benefits from time to time. Such changes shall not alter sessions already purchased except where required by applicable law or expressly agreed with the Member.

Validity & Session Usage

8. Validity. Each package has a defined validity period. Monthly packages are valid for the applicable one-month period and quarterly packages for the applicable three-month period. Sessions must be used within the applicable validity period.

9. Expiry of Unused Sessions. Unused sessions expire automatically at the end of the package validity period. Expired sessions are not refundable, transferable, exchangeable for cash, or automatically carried into a subsequent package.

10. No Automatic Extension. Purchase of a new package does not revive or extend sessions from an expired package. Any exception, extension or goodwill adjustment must be expressly approved by Sadhya in writing.

Personal Use & Transfer

11. Personal Membership. Memberships and packages are personal to the Member and are non-transferable and non-shareable unless Sadhya expressly approves a transfer in writing.

12. Unauthorised Use. A Member must not permit another person to attend using the Member’s membership, package, account or booking. Sadhya may verify identity before permitting access.

13. Exceptional Transfer. Sadhya may, at its discretion, permit a transfer in exceptional circumstances subject to written approval, eligibility conditions, applicable administrative charges and any other conditions communicated by Sadhya. A transfer is not effective until confirmed by Sadhya.

Payment Terms

14. Payment. Memberships and packages must be paid for in full at purchase unless an alternative arrangement is expressly approved by Sadhya. Applicable taxes, including GST, shall be payable as required. The Member is responsible for accurate billing and contact information.

15. Activation After Payment. A membership is considered activated only after successful receipt and confirmation of payment by Sadhya. Failed, reversed, disputed or incomplete payments may result in suspension of access until the payment issue is resolved.

Refund & Cancellation Of Membership

16. No Refunds After Purchase. Memberships and packages purchased from Sadhya are non-refundable once purchased, except where a refund or other remedy is expressly required by applicable law or specifically approved by Sadhya in writing.

17. Non-Use Does Not Create a Refund Right. Failure to use a membership or package, change in personal circumstances, travel, work commitments, relocation, change of preference, failure to book available sessions or inability to attend within the validity period does not ordinarily create an entitlement to a refund.

18. Promotional Purchases. Discounted packages, promotional offers, introductory offers, complimentary sessions and special pricing may carry additional conditions communicated at the time of purchase.

19. Statutory Rights. Nothing in these Terms is intended to exclude, restrict or waive any right or remedy that cannot lawfully be excluded or restricted under applicable law.

Session Booking

20. Advance Booking. Sadhya operates through scheduled sessions. Members must reserve sessions in advance through the designated booking system or Studio process.

21. Confirmed Booking. A booking is confirmed only when it is successfully recorded in Sadhya’s booking system or otherwise confirmed by the Studio. Availability is subject to capacity, instructor availability, operating schedules and service-specific limits.

22. Waitlists. Where a session is full, Sadhya may operate a waitlist. Placement on a waitlist does not guarantee a session. If a place becomes available, Sadhya may notify the Member according to its booking process. The Member remains responsible for checking whether a booking has been confirmed.

23. Booking Responsibility. Members are responsible for reviewing their bookings, arriving on time and cancelling or rescheduling within the permitted cancellation window.

Cancellation, Rescheduling & No-Show Policy

24. Six-Hour Cancellation Window. A Member may cancel or reschedule a confirmed session without losing the session credit provided the cancellation or rescheduling is completed at least SIX (6) HOURS before the scheduled start time.

25. Late Cancellation. A cancellation or rescheduling request made less than six (6) hours before the scheduled start time is a Late Cancellation. A Late Cancellation will ordinarily result in the session being deducted from the Member’s available session balance.

26. No-Show. A No-Show occurs when a Member does not attend a confirmed booking and has not cancelled or rescheduled it at least six (6) hours before the scheduled start time. A No-Show will ordinarily result in the session being deducted from the Member’s available session balance.

27. Late Arrival and Missed Session. Where a Member arrives late and the instructor determines that the Member cannot safely join the session or that late entry would materially disrupt the session, the Member may be refused entry. The session shall ordinarily be treated as utilised and no replacement or refund shall be due.

28. Cancellation Method. Cancellations and rescheduling must be completed through the designated Sadhya booking platform or other method expressly approved by Sadhya. Informing another Member, instructor or third party does not by itself cancel a booking unless the Studio confirms the cancellation.

29. Exceptional Circumstances. Sadhya may, at its discretion, restore a session or waive a Late Cancellation/No-Show deduction in genuine exceptional circumstances. Such waivers are discretionary, case-specific and do not create a precedent or ongoing entitlement.

30. Repeated Late Cancellations and No-Shows. Repeated Late Cancellations or No-Shows may affect booking privileges. Sadhya may apply reasonable booking restrictions or other administrative measures where a Member repeatedly occupies limited session capacity without attending.

31. Studio-Cancelled Sessions. If Sadhya cancels a confirmed session, the Member shall not lose the session credit for that cancellation. Sadhya may offer rescheduling, restoration of the session credit or another reasonable arrangement depending on the circumstances.

Late Arrival

32. Arrival Time. Members should arrive sufficiently early to check in, prepare and participate safely.

33. Safety-Based Entry Restriction. The instructor may refuse entry to a Member who arrives too late to safely participate, particularly where the session has progressed beyond a point at which joining would create a safety or operational concern.

34. No Automatic Replacement. Late arrival, regardless of the reason, does not automatically entitle the Member to a replacement session, refund or extension.

Studio Conduct & Etiquette

35. Member Conduct. Members must treat instructors, employees and other Members with courtesy and respect; follow reasonable Studio and instructor instructions; use equipment responsibly; maintain appropriate hygiene; wear suitable exercise attire; maintain cleanliness; and avoid behaviour that disrupts another Member’s session or Studio operations.

36. Prohibited Conduct. Abusive, threatening, harassing, discriminatory or intimidating behaviour; physical violence; deliberate damage; unauthorised commercial activity; unauthorised training of other Members; attendance while intoxicated or under the influence of prohibited substances; misuse or sharing of membership access; and materially disruptive conduct are prohibited.

37. Consequences. Sadhya may suspend or terminate access for serious or repeated violations, subject to applicable law. Where damage is caused by intentional or negligent misuse, Sadhya may seek reasonable repair or replacement costs to the extent permitted by law.

Equipment

38. Safe Use. Studio equipment, including Pilates equipment, must be used only for its intended purpose and in accordance with instructor instructions.

39. Specialised Equipment. Members must not dismantle, relocate or materially alter specialised equipment unless instructed or authorised by Studio staff.

40. Damage. A Member may be responsible for damage caused by intentional or negligent misuse, subject to applicable law.

41. Personal Belongings.
Members remain responsible for personal belongings brought into the Studio. Sadhya shall not be responsible for loss, theft or damage except to the extent required by applicable law.

Health, Fitness & Safety

42. Health Responsibility. The Member acknowledges that Pilates, Yoga and other physical wellness activities involve physical exertion. The Member is responsible for assessing whether they are fit to participate and should seek appropriate medical advice where they have a medical condition, injury or other concern that may affect safe participation.

43. Disclosure. Members must inform Sadhya and/or the relevant instructor of any injury, illness, pregnancy, recent surgery, medical condition, physical limitation or other circumstance that may reasonably affect safe participation.

44. Instructor Guidance. Instructors may modify, restrict or discontinue an exercise where they reasonably believe it is necessary for safety. Members must follow reasonable safety instructions.

45. Symptoms During Session. Members must immediately inform the instructor if they experience unusual pain, dizziness, breathlessness, discomfort or any other concerning symptom.

46. No Medical Advice. Sadhya instructors and staff are not substitutes for doctors, physiotherapists or other licensed healthcare professionals. Sadhya does not diagnose, treat or guarantee medical outcomes through its membership services.

Assumption Of Risk & Limitation Of Liability

47. Inherent Risks. The Member understands that participation in physical activity involves inherent risks, which may include muscle soreness, strains, sprains, falls, aggravation of existing conditions and other injury.

48. Voluntary Participation. The Member voluntarily participates in Sadhya services and agrees to participate within their physical capability and follow applicable safety instructions.

49. No Guaranteed Outcome. Sadhya does not guarantee any specific physical, fitness, aesthetic, therapeutic, rehabilitation or wellness result from participation.

50. Legal Limits. Nothing in these Terms excludes, restricts or limits liability that cannot legally be excluded, restricted or limited under applicable law.

Freeze & Extension

51. General Rule. Memberships are intended to be used within their stated validity period. A freeze or extension is not an automatic feature unless specifically stated for the relevant package.

52. Exceptional Extension. Sadhya may, at its discretion, grant a temporary extension or freeze in exceptional circumstances, including genuine medical circumstances supported by appropriate documentation.

53. Written Approval. Any freeze or extension is valid only after written confirmation by Sadhya and shall apply only for the period expressly approved.

54. No Implied Extension. Travel, work commitments, holidays, personal scheduling difficulties or failure to attend do not automatically extend package validity.

Instructors, Class Schedules & Service Availability

55. Instructor Changes. Sadhya may change instructors due to leave, illness, training, scheduling, operational requirements or other circumstances. A change of instructor does not ordinarily entitle a Member to a refund or replacement session.

56. Schedule Changes. Sadhya may modify class schedules, timings, formats, capacity, operating hours or service availability from time to time. Reasonable efforts will be made to communicate material changes.

57. No Guarantee of Particular Instructor. Membership does not guarantee the continued availability of a particular instructor, class timing, session format or equipment.

58. Service Modification. Sadhya may introduce, discontinue or modify services in response to operational, safety, regulatory or business requirements, subject to applicable law and reasonable treatment of existing bookings.

Temporary Closure & Force Majeure

59. Temporary Closure. Sadhya may temporarily close or restrict access for maintenance, repairs, upgrades, training, emergencies, regulatory requirements, building restrictions or other legitimate operational reasons.

60. Member Remedy for Material Closure. Where a Studio closure materially prevents a Member from utilising purchased sessions, Sadhya may provide a reasonable extension, rescheduling option, restored session credit or other reasonable arrangement depending on the circumstances.

61. Force Majeure. Sadhya shall not be responsible for interruption or temporary inability to provide services caused by circumstances beyond its reasonable control, including natural disasters, fire, government restrictions, civil disturbance, epidemics, utility failures or similar events. Where practicable, Sadhya may provide reasonable extensions or alternative arrangements.

Photography, Videography & Communication

62. Privacy of Others. Members must respect the privacy of other Members and Studio staff. A Member must not photograph, record or publish another identifiable person without appropriate consent.

63. Studio Recording. Sadhya may establish designated areas or rules regarding photography and recording. Any use of identifiable Member images for promotional purposes shall be handled in accordance with applicable law and applicable consent requirements.

64. Operational Communication. Sadhya may contact Members regarding bookings, cancellations, package expiry, payments, Studio notices, feedback, customer service and other membership administration.

65. Promotional Communication.Where permitted by applicable law, Sadhya may send promotional communications. Members may use the available opt-out mechanism for promotional communications.

Suspension & Termination

66. Suspension. Sadhya may temporarily suspend membership access where a Member materially breaches these Terms, repeatedly violates Studio rules, engages in abusive or threatening conduct, misuses equipment, creates a material safety concern, shares membership access or materially disrupts Studio operations.

67. Termination for Breach. Sadhya may terminate a membership for serious or repeated breach of these Terms. Termination arising from Member misconduct or breach shall not ordinarily create an entitlement to refund, subject to applicable law.

68. Access During Suspension. A suspended Member shall not attend sessions during the suspension period unless expressly authorised by Sadhya.

69. Member-Initiated Termination. A Member may choose not to renew or purchase another package after expiry. Cancellation of an already purchased package is subject to the non-refund policy in these Terms and applicable law.

Complaints & Customer Support

70. Complaints. Members are encouraged to raise complaints or concerns promptly with Studio management.

71. Review. Complaints should contain sufficient details to allow Sadhya to investigate. Sadhya will make reasonable efforts to review and respond within a reasonable period.

72. No Waiver of Rights. The internal complaint process does not restrict any statutory consumer right or remedy available under applicable law.

Changes To Terms

73. Updates. Sadhya may update these Terms from time to time to reflect changes in services, operations, technology, business practices or applicable law.

74. Prospective Application. Updated Terms shall apply prospectively from the effective date communicated by Sadhya, unless otherwise required by applicable law.

75. Existing Purchases. The Terms applicable at the time of purchase shall govern the purchased package, subject to lawful updates and any changes required by applicable law.

General & Legal

76. Entire Agreement. These Terms, together with the applicable package details, booking policies and service-specific policies, constitute the agreement between Sadhya and the Member regarding the membership.

77. Severability. If any provision is determined to be invalid or unenforceable, the remaining provisions shall continue to apply to the extent permitted by law.

78. No Waiver. Failure by Sadhya to enforce a provision on one occasion shall not constitute a waiver of its right to enforce that provision subsequently.

79. Governing Law. These Terms shall be governed by and interpreted in accordance with the laws of India.

80. Dispute Resolution. Sadhya and the Member shall endeavour to resolve disputes amicably through the Studio’s internal grievance process. Nothing in these Terms shall restrict any statutory right or remedy available to a consumer under applicable law. Subject to applicable law, disputes shall be subject to the jurisdiction of the competent courts having jurisdiction over the location of the relevant Sadhya Studio.

Member Acknowledgement

81. Acceptance. By purchasing, activating, booking or using a Sadhya membership/package, the Member confirms that they have read, understood and accepted these Terms & Conditions.

82. Key Acknowledgements. The Member specifically acknowledges that: memberships are session-based; package validity is limited; unused sessions expire at the end of the validity period; the cancellation window is six (6) hours; Late Cancellations and No-Shows may result in session deduction; memberships are personal and generally non-transferable; and the Member must comply with Studio rules and instructor safety instructions.

Schedule 2. Six-Hour Booking Policy

  • Cancellation/rescheduling 6 hours or more before the scheduled start time: session credit is restored/not deducted.
  • Cancellation/rescheduling less than 6 hours before the scheduled start time: session is deducted as a Late Cancellation.
  • No-show: session is deducted.
  • Late arrival: entry may be refused if the instructor determines that joining is unsafe or disruptive; the session is ordinarily deducted.
  • If Sadhya cancels the session: the Member does not lose the session credit and Sadhya will provide an appropriate rescheduling/restoration arrangement.
  • Exceptional waiver: Sadhya may restore a session in genuine exceptional circumstances at its discretion.

I confirm that I have read and understood the Sadhya Studios Membership Terms & Conditions, including the six-hour cancellation and rescheduling policy, session expiry policy, non-refund policy, package-specific conditions and health and safety requirements.
